Australia’s Nitro grants due diligence access to Potentia

Feb 8 (Reuters) – Takeover target Nitro Software (NTO.AX) said on Wednesday it would grant Potentia Capital access to its books until Feb. 22 for due diligence after the private equity firm signaled it may hike its offer price.

Nitro said its board had determined that a potential A$2.20-A$2.30 per-share bid from Potentia could be considered a “superior proposal” to the A$2.15 per-share offer from rival suitor KKR Inc-backed Alludo.

An offer price of A$2.30 would value the software provider at A$564.2 million ($393.13 million), compared to Alludo’s A$526.9 million bid that was rejected by shareholders earlier this month.

At the moment, Nitro’s board continues to recommend that shareholders accept Alludo’s A$2.15 per share offer, which the KKR-backed firm has said is its ‘best and final’ offer.

Alludo and Potentia Capital have been involved in a bidding war for Nitro since October last year, as high inflation and weak consumer demand have made technology firms potential buyout targets.
